Vendor Terms & Conditions These Vendor Terms & Conditions (“Agreement”) govern the relationship between Dizilight India Private Limited (“Company”, “We”, “Us”) and the registering Vendor (“Vendor”, “You”). By registering as a Vendor on the Dizilight platform, you agree to the following terms: 1. Vendor Eligibility Vendor must be a legally authorized individual, firm, LLP, or company. Vendor must provide accurate business, KYC, bank, and contact details. Any false or misleading information may result in immediate termination. 2. Vendor Registration & Activation Vendor registration is subject to verification and approval. Email and/or mobile number verification is mandatory. Dizilight reserves the right to approve or reject any vendor application without stating reasons. 3. Scope of Services Dizilight provides a digital platform to connect vendors with customers. The Company does not guarantee leads, sales, or business volume. Vendors are solely responsible for delivering their products/services. 4. Vendor Responsibilities Vendor agrees to: Provide lawful, genuine, and quality products/services. Honor committed pricing, timelines, and service quality. Comply with all applicable laws, regulations, and taxes. Maintain professional conduct with customers. 5. Prohibited Activities Vendors must NOT: Provide false claims or misleading information. Engage in unethical, illegal, or fraudulent practices. Harass or misuse customer data. Use Dizilight branding without written permission. 6. Pricing, Commission & Payments Vendor agrees to platform fees, commissions, or service charges as applicable. Payments shall be settled as per agreed payment cycle. Taxes (GST, TDS, etc.) are the sole responsibility of the Vendor. No refunds unless explicitly agreed in writing. 7. Customer Data & Confidentiality Vendor shall use customer data only for service fulfillment. Customer information must not be shared, sold, or misused. Breach of data privacy may invite legal action. 8. Platform Rights Dizilight reserves the right to: Modify or discontinue platform features. Suspend or terminate vendors violating policies. Remove vendor listings without prior notice. 9. Account Suspension & Termination Vendor account may be suspended or terminated for: Policy violations Customer complaints Non-payment Misrepresentation or misuse of the platform Termination does not waive outstanding dues. 10. Limitation of Liability Dizilight acts as a technology platform only. The Company is not liable for vendor-customer disputes, losses, or damages. Vendors indemnify Dizilight against legal claims arising from their services. 11. Intellectual Property All platform content, branding, and technology belong to Dizilight. Vendors shall not copy, modify, or misuse any intellectual property. 12. Amendments Dizilight may update these Terms at any time. Continued use of the platform implies acceptance of updated terms. 13. Governing Law & Jurisdiction This Agreement shall be governed by the laws of India, with jurisdiction in competent Indian courts. 14.
